Agreement, scope and operator

These Terms govern your access to and use of the EnglishPal.ai website, conversation and learning portal, browser or mobile experiences, AI conversations, voice and text features, learning feedback, level assessments, certificate pages, subscriptions, customer support, and related business or education services that link to these Terms. Together, these are the “Service.”

By creating an account, clicking to accept these Terms, purchasing a plan, or using the Service, you agree to these Terms. If you do not agree, do not create an account, purchase a plan, or use the Service.

If you use EnglishPal for a company, school, family account, or other organization, you confirm that you have authority to accept these Terms for that organization. The organization may be responsible for the activities of its administrators and assigned users.

The Service is operated by QLian I.O.T US LLC, a Mississippi limited liability company, United States.

Eligibility, accounts and access

Age and capacity

The consumer Service is not directed to children under 13. You must be at least 13 and legally able to enter into this agreement. If you are under the age of majority where you live, a parent or legal guardian must review and accept these Terms for you. Younger learners may use an authorized school or organization account only under the organization’s arrangement and any consent required by applicable law.

Account information

You must provide accurate, current information and keep it updated. You are responsible for safeguarding your password, verification codes, and devices, and for activity performed through your account unless caused by our failure to use reasonable security measures.

Notify us promptly if you believe an account or payment method has been used without authorization. We may ask for information reasonably needed to verify account ownership or protect the account.

Account sharing and assigned seats

A personal account may not be sold, rented, transferred, or shared with another person. Family, business, education, or multi-seat plans may be used only by the people or seats assigned under that plan. Administrators are responsible for assigning and removing seats appropriately.

Deleting an account

You may use the available account controls to delete your account. Deleting an account may permanently remove access to learning records and other account content. Account deletion does not necessarily cancel a recurring subscription that is managed through a separate billing system, payment provider, or app store, so cancel the subscription before deleting the account.

The Service and its AI learning features

EnglishPal provides AI-assisted language practice, which may include conversations, role-play, pronunciation guidance, speech recognition, text-to-speech, grammar and vocabulary feedback, fluency analysis, lesson content, learning records, level estimates, and language certificates. Features vary by plan, device, language, location, and availability.

AI interactions

You are interacting with automated systems rather than a human teacher unless a feature clearly states otherwise. AI responses are generated probabilistically and may be incomplete, outdated, unsuitable, or incorrect. You should use your judgment and verify information that matters.

EnglishPal is a learning tool. It is not a substitute for emergency services, medical, legal, financial, immigration, employment, or other professional advice. Do not rely on an AI response for a safety-critical or high-impact decision.

Voice features

Voice practice requires microphone access and may involve speech-to-text, text-to-speech, audio processing, and pronunciation analysis. Your use of these features is also governed by the Privacy Policy and the permissions on your device or browser.

Learning outcomes

We do not guarantee a particular exam result, language level, pronunciation outcome, job result, immigration result, academic result, or amount of progress. Outcomes depend on many factors, including practice frequency, starting level, learning method, and individual circumstances.

Acceptable use

You may use the Service for lawful personal learning or for an authorized organization purpose. You must not use the Service in a way that harms another person, the Service, our providers, or the integrity of the learning experience.

You must not:

• use the Service for illegal activity, fraud, harassment, threats, exploitation, or content that infringes another person’s rights;
• create, request, upload, or distribute sexual content involving minors or any content that facilitates abuse or exploitation;
• impersonate another person, misrepresent account ownership, falsify learning records, alter certificate verification, or present an AI assessment as an official government or professional credential;
• upload personal, confidential, or proprietary information that you do not have permission to use;
• interfere with security, test vulnerabilities without written permission, introduce malicious code, or attempt unauthorized access;
• reverse engineer, extract models, scrape, crawl, automate access, bypass rate or usage limits, or use the Service to build a competing dataset or service, except where applicable law expressly permits an activity that cannot be restricted;
• resell, sublicense, rent, or provide the Service as a service bureau unless a written agreement with us allows it;
• share a personal account, evade plan limits, exploit promotions, abuse refunds, or use unauthorized payment methods;
• use AI output to make a high-impact decision about another person without appropriate human review and any safeguards required by law; or
• use the Service for academic dishonesty or misrepresent AI-generated work as your own where doing so violates school, employer, examination, or professional rules.

We may use automated and human methods to prevent misuse, investigate suspected violations, protect users, and comply with law. Where reasonable, we will consider context and proportionality before restricting an account.

User content, AI output and intellectual property

Your content

You retain ownership of content you submit to the Service, such as messages, recordings, uploaded material, profile information, and learning content you create. You give EnglishPal a worldwide, non-exclusive license to host, reproduce, process, transmit, and display that content only as reasonably necessary to provide, secure, maintain, support, and improve the Service, subject to the Privacy Policy and your settings.

You confirm that you have the rights and permissions needed to submit your content and to allow this processing. You are responsible for the content you submit and for how you use or share content produced through the Service.

AI output

As between you and EnglishPal, and to the extent permitted by law, you may use output generated for you under your plan. AI output may not be unique, and other users may receive similar or identical output. We do not promise that output is free from third-party rights or suitable for a particular purpose.

EnglishPal materials

The Service, software, interfaces, lesson designs, visual assets, trademarks, logos, documentation, and other EnglishPal materials are owned by us or our licensors. We grant you a limited, revocable, non-exclusive, non-transferable right to use the Service for its intended purpose during your authorized access. No other rights are granted.

EnglishPal, EnglishPal.ai, associated logos, and product designs may not be used in a way that implies endorsement, partnership, or ownership without written permission.

Plans, prices, payment and taxes

Free and paid access

EnglishPal may offer free access, subscriptions, one-time purchases, family plans, organization plans, credits, promotions, or other packages. The features, limits, term, price, currency, and billing interval shown at checkout or on the pricing page form part of your purchase.

Usage allowances and features described as unlimited remain subject to reasonable fair-use, security, anti-abuse, and technical limits. We may restrict automated, excessive, shared, or disproportionate use that interferes with other users or materially exceeds ordinary human learning activity.

Payment authorization

When you submit a payment method, you authorize the amount shown at checkout and any applicable taxes. For a recurring plan, you also authorize future charges at the stated interval until you cancel. Charges must be authorized by the account holder or another person legally permitted to use the payment method.

Digital delivery

Paid access is normally activated electronically after payment is confirmed, subject to any reasonable fraud, tax, identity, security, or technical review. No physical product is shipped unless an offer expressly states otherwise. If paid access is not activated within a reasonable time, contact EnglishPal support using the email associated with the purchase.

Payment providers and billing records

Payments may be processed by an authorized third-party payment provider, app store, bank, card network, or merchant-of-record service. That provider may appear on your receipt or billing statement and may apply its own payment-processing terms. These Terms continue to govern your use of EnglishPal.

We or the payment provider may use billing information, transaction records, device information, and service-usage records to process payments, prevent fraud, issue receipts, handle refunds, respond to disputes, and meet legal or tax obligations.

Taxes and currency conversion

Prices may include or exclude sales tax, value-added tax, goods and services tax, or similar charges depending on the checkout and your location. A payment provider or bank may apply currency conversion or other charges under its own terms.

Price and plan changes

We may change future prices or plan features. A price change does not affect a completed one-time purchase. For an existing recurring plan, a new price will apply only after any notice and consent required by applicable law. You may cancel before the new price takes effect.

Lifetime plans and credits

If a plan is described as lifetime, it means access for the commercial life of the applicable EnglishPal service or plan, not the lifetime of a particular person. It does not guarantee that every model, feature, integration, or usage limit will remain unchanged forever. If credits or usage allowances are offered, their validity, renewal, expiration, and plan limits are shown with the offer. Credits are non-transferable and have no cash value except where law requires otherwise.

Subscriptions, automatic renewal, cancellation and refunds

Automatic renewal

A monthly, annual, or other recurring plan renews automatically for the period and price disclosed at checkout unless you cancel before the renewal charge. We will provide purchase confirmations, renewal reminders, price-change notices, or other notices when required by applicable law.

How to cancel

You may cancel a direct subscription through the billing or subscription controls made available in your EnglishPal account. If the purchase was made through an app store or another payment provider, you may need to cancel through that provider’s customer portal. Online subscriptions are intended to have an online cancellation route that is easy to find and use.

For a direct purchase, cancellation normally stops future renewal charges and access continues through the end of the current paid period, unless the checkout, provider, or applicable law states otherwise. Cancellation does not by itself create a refund for time already billed.

Deleting your EnglishPal account, deleting learning data, uninstalling an app, or stopping use of the Service does not automatically cancel every subscription. Complete the cancellation process and keep the confirmation.

EnglishPal refund eligibility

Subject to mandatory consumer rights and the complete Refund Policy, a payment made directly for EnglishPal may be eligible for a refund only when both of the following conditions are met:

Both conditions must be satisfied. The Refund Policy explains the request process, exclusions, evidence, payment-provider purchases, processing time, and any additional terms. If the Refund Policy and these Terms conflict about refund administration, the Refund Policy controls, while mandatory legal rights remain unaffected.

Mandatory withdrawal and digital-service remedies

Approved refunds are normally returned to the original payment method. Processing time depends on the payment provider, bank, currency, and applicable law. We do not control how quickly a bank posts the credit after a refund has been issued.

Payment disputes and unrecognized charges

Contact support promptly if you do not recognize a charge or believe a payment is incorrect. Nothing in these Terms limits your right to dispute an unauthorized charge. A chargeback does not necessarily cancel a subscription, so use the cancellation process separately. We may provide the payment provider with account, consent, transaction, and usage records relevant to a dispute and may restrict access while a payment remains reversed or unpaid.

Assessments, certificates, organizations and third parties

Language assessments and certificates

EnglishPal may estimate a language level and issue an AI-assessed learning certificate based on available activity and assessment data. An estimate or certificate is not a degree, school transcript, immigration document, government qualification, professional license, regulated examination result, or guarantee that a school, employer, authority, or other organization will accept it.

Certificate verification pages may be accessible to anyone who has the relevant public link or verification identifier. Do not alter, falsify, sell, or misrepresent a certificate. An organization should not use an EnglishPal score as the sole basis for an employment, admissions, licensing, immigration, credit, or other high-impact decision without appropriate human review and any additional evidence required by law.

Business, education and family plans

An organization or family plan may have administrators who can assign seats, manage access, configure features, and view information made available through the plan. Users should ask the relevant administrator about organization-specific rules. A separate order form, data agreement, or enterprise contract may add or replace terms for that plan.

Administrators must use learning and account information lawfully, provide required notices, obtain required permissions, and limit access to people with a legitimate need. Organizations are responsible for their administrators, invitations, and seat assignments.

Third-party services

The Service may depend on or link to third-party AI systems, speech services, hosting, analytics, authentication, payment, app-store, communication, or other infrastructure. Third-party services may have their own terms and privacy practices. We are not responsible for a third-party product that you choose to use outside EnglishPal, but we remain responsible for our obligations under applicable law.

Service changes, suspension and termination

Updates to the Service

We may update, replace, add, or remove models, voices, languages, lessons, interfaces, integrations, limits, and other features. This is necessary to improve the Service, respond to technical or legal changes, maintain security, and manage third-party availability. Where required, we will give reasonable notice of a material adverse change to a paid digital service and provide any remedy required by law.

Temporary interruptions

The Service may be interrupted for maintenance, security, updates, capacity limits, internet or provider outages, or events outside reasonable control. We will use reasonable efforts to restore affected features, but we do not promise uninterrupted availability.

Suspension or restriction

We may restrict or suspend access when reasonably necessary to protect the Service or another person, investigate suspected fraud or abuse, respond to nonpayment or a reversed payment, enforce these Terms, or comply with law. When appropriate, we may provide notice and an opportunity to correct the issue or contact support.

Termination

You may stop using the Service and delete your account at any time, subject to completing any separate subscription cancellation. We may terminate an account for a serious or repeated violation, unlawful use, security risk, fraud, nonpayment, or legal requirement. If we discontinue a paid service before the end of a paid period, we will provide the access, credit, refund, or other remedy required by applicable law and the relevant plan terms.

After termination, your right to use the Service ends. Provisions that by their nature should continue, including payment obligations, ownership, disclaimers, liability limits, dispute terms, and general provisions, survive termination.

Disclaimers, responsibility and limitation of liability

Service disclaimer

To the maximum extent permitted by law, the Service is provided “as is” and “as available.” We do not make warranties that the Service will be uninterrupted, error-free, secure in every circumstance, compatible with every device, or that AI output will be accurate, unique, suitable, or accepted by another organization.

Nothing in these Terms excludes a warranty, consumer guarantee, statutory remedy, or other right that cannot lawfully be excluded or limited.

Your responsibility

You are responsible for your account, your submissions, your interpretation and use of AI output, and your compliance with laws and third-party rules. You should keep copies of content or records that are important to you and should not use EnglishPal as the only storage location for critical information.

Limitation of liability

To the maximum extent permitted by law, EnglishPal and its affiliates, officers, employees, contractors, and licensors will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for loss of profits, revenue, opportunity, goodwill, data, or anticipated savings arising from the Service or these Terms.

To the maximum extent permitted by law, the total liability of EnglishPal and the parties listed above for all claims arising from the Service or these Terms will not exceed the greater of the amount you paid to EnglishPal for the Service during the 12 months before the event giving rise to the claim or 100 United States dollars.

The exclusions and cap do not apply where liability cannot legally be limited, including liability for fraud, intentional misconduct, gross negligence where applicable, death or personal injury caused by negligence, or a non-waivable consumer right.

Business-user responsibility

If you use the Service for a business or organization, that organization will defend and indemnify EnglishPal against third-party claims, damages, and reasonable costs arising from the organization’s unlawful content, violation of these Terms, infringement of third-party rights, or misuse by its administrators or assigned users, except to the extent caused by EnglishPal’s breach or misconduct. This paragraph does not apply to a consumer acting outside a trade or profession.

Governing law, disputes and mandatory consumer rights

Contact us first

Before starting formal proceedings, please contact support and describe the issue. We will try in good faith to review the account, transaction, or service problem and respond. This informal step does not prevent either party from seeking urgent relief or exercising a right before a legal deadline expires.

Governing law

These Terms are governed by the laws of the State of Mississippi and applicable federal law of the United States, without regard to conflict-of-law principles.

Courts

For business users, organization customers, and users who are not entitled to a mandatory local forum, disputes will be brought in the state or federal courts with jurisdiction in Mississippi, United States, and each party consents to those courts.

Export and sanctions rules

You may not use, purchase, export, or re-export the Service in violation of applicable trade controls or sanctions. You confirm that you are not using the Service on behalf of a prohibited person or for a prohibited end use.

Changes to these Terms, general provisions and contact

Changes to the Terms

We may update these Terms to reflect new features, business practices, legal requirements, security needs, or clearer wording. The updated version will show its effective date. For a material change, we will provide notice through the Service, email, or another reasonable method when required. Changes will not retroactively reduce rights that have already accrued.

If you do not agree to a material update, you should stop using the Service and cancel any recurring plan before the update takes effect. Continued use after the effective date means you accept the updated Terms, to the extent permitted by law.

Assignment

You may not assign or transfer these Terms or an account without our written consent. We may assign these Terms as part of a merger, acquisition, reorganization, sale of assets, or transfer of the Service, provided that the assignment does not reduce mandatory consumer rights.

Entire agreement and order of priority

These Terms, the Privacy Policy, the Refund Policy, the plan and checkout terms, and any applicable signed agreement form the complete agreement about the Service. If there is a conflict, a signed agreement controls first, followed by feature- or checkout-specific terms, these Terms, and then general website material, unless mandatory law requires another result.

Severability, waiver and headings

If a provision is held unenforceable, it will be enforced to the greatest lawful extent and the remaining provisions will continue. A failure to enforce a provision is not a waiver. Headings and summaries are provided for navigation and do not change the meaning of the complete clauses.

Electronic communications

You agree that account, billing, legal, security, and service notices may be provided electronically, including by email, in-product notice, receipt, or account message. Keep your account email current and retain notices that are important to you.
